For the Katlego Finance SME platform

1. Who this agreement is with
These Terms and Conditions form a binding agreement between the business or sole proprietor registering for or using the Katlego Finance platform (referred to in this document as "you" or "the Customer") and Katlego Nexus (Pty) Ltd, trading as Katlego Financial Services (referred to as "Katlego Finance", "we", "us", or "our"), a company registered in South Africa. Our registration number and registered address will be inserted here once confirmed. Our contact details for any query relating to these Terms are support@katlegofinance.co.za.
By creating an account, accessing, or using the Katlego Finance platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund and Cancellation Policy, and our Data Protection and Security Policy, each of which is incorporated into this agreement by reference.
2. Regulatory status
Katlego Finance intends to operate as, or in association with, a licensed Financial Services Provider under the Financial Advisory and Intermediary Services Act 37 of 2002, and to distribute credit protection products through a licensed underwriting partner. Where any function performed on the platform constitutes a financial service as defined in applicable South African legislation, that function is, or will be, performed under appropriate licensing or a binder or intermediary arrangement with a licensed and regulated partner. This section will be updated to name the relevant license, license number, and regulated partner once confirmed. Nothing on the platform, including the Debtor Health Index, the cash flow benchmarking feature, or any risk score, constitutes personalised financial advice, and no representation to the contrary should be inferred from any part of the platform or this agreement.
3. Eligibility
You may only use Katlego Finance if you are a South African registered business, sole proprietor, or otherwise lawfully trading entity, and if the natural person creating or operating the account is at least 18 years old and has the legal authority to bind the business to this agreement. We reserve the right to request proof of business registration, identity, and banking details as part of our onboarding and ongoing know your business and know your customer processes, and to decline, suspend, or terminate an account where such verification cannot be completed to our reasonable satisfaction.
4. The services
Katlego Finance provides a native invoicing and bookkeeping platform, together with a proprietary debtor risk scoring engine and a set of related features described below. The specific features available to you depend on your subscription tier, described in Section 6.
4.1 Native invoicing and ledger
You may create customers, issue invoices, record payments and credit notes, and maintain a live debtor book directly within Katlego Finance. Katlego Finance is the system of record for information you enter, we do not synchronise with or depend on any third party accounting platform, and you are solely responsible for the accuracy and completeness of the information you enter or import.
4.2 Debtor Health Index
Katlego Finance calculates a risk score, referred to as the Debtor Health Index, for each customer in your debtor book, derived from payment history, payment lag trends, and exposure concentration recorded on the platform. The Debtor Health Index is a statistical indicator only, is not a guarantee of any customer's future payment behaviour, and does not constitute a credit report, a credit bureau product, or financial advice. You remain solely responsible for your own commercial decisions regarding any customer.
4.3 Invoice protection
Where available to your subscription tier and to a qualifying invoice, you may request protection against a named customer's failure to pay that specific invoice, in exchange for a guarantee fee calculated at the time of the request and disclosed to you before you confirm. Once a guarantee is issued and confirmed by you, it is a binding arrangement between you and our underwriting partner, distributed through the Katlego Finance platform, and the guarantee fee becomes non-refundable except as expressly set out in our Refund and Cancellation Policy. Invoice protection is subject to eligibility criteria, including a minimum invoice value and a satisfactory Debtor Health Index for the relevant customer, which may change from time to time, and is always subject to final acceptance by our underwriting partner. Katlego Finance is not itself the underwriter or insurer, and does not itself hold the risk of non-payment, our role is to operate the technology platform through which the protection is arranged and administered.
4.4 Payment links
You may generate a payment link for any invoice, allowing your customer to pay you directly through our payment services partner. A processing fee applies to each successful payment collected through this feature, disclosed to you before you activate it. Katlego Finance is not a bank and does not hold customer funds beyond the ordinary processing and settlement timelines of our payment services partner.
4.5 Pre-extension credit checks
Where available to your subscription tier, you may request an aggregated and anonymised view of payment behaviour patterns across businesses using the Katlego Finance platform, to help inform a decision about whether to extend payment terms to a new customer. This feature provides factual, aggregated statistical information only, is never presented as a recommendation to extend or withhold credit, and does not disclose any individual business's specific, identifiable data to any other user of the platform.
4.6 Cash flow benchmarking
Where available to your subscription tier, Katlego Finance provides descriptive analytics comparing your debtor book and payment patterns to anonymised, aggregated data from similar businesses on the platform, together with a projection of your own future cash flow based on your own historical ledger data. This feature is informational only and does not constitute financial advice or a forecast guarantee.
4.7 Data import and export
You may import historical customer and invoice records into Katlego Finance by CSV file, subject to the record limits applicable to your subscription tier. Before any imported data is committed to your ledger or used in any risk calculation, you will be shown a preview of the data to be imported, with any detected issues, such as duplicate customers, ambiguous dates, or missing required fields, clearly flagged for you to correct, skip, or confirm. You are solely responsible for the accuracy of any data you choose to import. You may export your own data from Katlego Finance as a CSV file at any time your account is in good standing. Any export you generate is a record of your own raw data only, is not formatted or represented as compliant with any tax, VAT, or accounting standard, and Katlego Finance accepts no responsibility for its use for tax filing, statutory reporting, or any other compliance purpose. If you require compliance ready financial statements or tax filings, you should engage a registered accountant or tax practitioner.
5. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must enable multi factor authentication where we require it, including for any action that can trigger a payout or confirm a guarantee. You must notify us immediately at support@katlegofinance.co.za if you suspect unauthorised access to your account.
6. Subscription plans, billing, and usage limits
Katlego Finance is offered on the following subscription tiers. Full, current feature detail for each tier is published on our website and forms part of these Terms.
- Free: no monthly fee, subject to usage limits including a monthly invoice cap, a limited number of customers for which the Debtor Health Index is visible, and a limited data import allowance.
- Growth: a monthly subscription fee, published on our website and subject to change on notice as described below, removing the usage limits applicable to the Free tier and adding features described in Section 4.
- Pro: a monthly subscription fee, published on our website and subject to change on notice as described below, including all Growth features plus additional features described in Section 4.
Paid subscriptions are billed monthly in advance and renew automatically until cancelled in accordance with our Refund and Cancellation Policy. We may change our subscription fees from time to time, and will give you at least 30 days notice of any increase before it applies to your account. If you do not agree to a fee change, you may cancel your subscription before the change takes effect. Exceeding the usage limits applicable to your tier may result in certain actions being unavailable until you upgrade or the relevant limit resets.
7. Acceptable use
You agree not to use Katlego Finance to: submit fraudulent, fictitious, or duplicated invoices or customers; attempt to manipulate or artificially inflate a Debtor Health Index; use the pre-extension credit check or benchmarking features to obtain identifiable data about a specific competitor or business rather than your own commercial decision making; use the platform for any unlawful purpose, including money laundering or the financing of terrorism; or attempt to gain unauthorised access to any part of the platform, another user's data, or our systems. We may suspend or terminate your account immediately, without refund of any guarantee fee already bound, if we reasonably believe you have breached this section.
8. Intellectual property
Katlego Finance, our logo, and all software, design, and content that make up the platform are our property or that of our licensors, protected by South African and international intellectual property law. Nothing in this agreement transfers any of that intellectual property to you. Your own business data, including your invoices, customer records, and ledger entries, remains your property.
9. Fees, taxes, and your own compliance obligations
Katlego Finance is not an accounting firm, a tax practitioner, or a registered auditor, and nothing on the platform, including any exported data, constitutes tax, accounting, or compliance advice. You remain solely responsible for your own statutory obligations, including VAT, income tax, and any other filing obligations to the South African Revenue Service or any other regulator, and are encouraged to engage a qualified professional for that purpose.
10. Limitation of liability
To the maximum extent permitted by South African law, Katlego Finance, its directors, employees, and licensed partners will not be liable for any indirect, incidental, or consequential loss arising from your use of the platform, including loss of profit, loss of business opportunity, or loss of data, except where such loss arises from our gross negligence or wilful misconduct. Our total aggregate liability to you in respect of any claim arising from these Terms, other than in respect of a validly bound invoice guarantee, which is governed by the terms of that guarantee and our underwriting partner's policy conditions, is limited to the subscription fees paid by you in the three months preceding the event giving rise to the claim. Nothing in this section limits any liability that cannot lawfully be limited or excluded under South African law, including under the Consumer Protection Act 68 of 2008 where it applies to you.
11. Indemnity
You agree to indemnify and hold Katlego Finance harmless against any claim, loss, or expense arising from your breach of this agreement, your misuse of the platform, or any inaccurate, fraudulent, or unlawful data you submit or import, including any invoice, customer record, or credit check request.
12. Suspension and termination
We may suspend or terminate your access to Katlego Finance, with or without notice, if you breach these Terms, if we reasonably suspect fraud or unlawful conduct, if required by a regulator or our underwriting or payment partners, or if you fail to pay any amount due to us. You may cancel your account at any time in accordance with our Refund and Cancellation Policy. Termination does not affect any invoice guarantee already bound before the termination date, which continues to be governed by its own terms.
13. Force majeure
Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including load shedding, network or infrastructure failure, natural disaster, industrial action, or governmental action, provided the affected party uses reasonable efforts to mitigate the impact.
14. Changes to these Terms
We may update these Terms at any time, at our own discretion, to reflect changes to our platform, our business, or applicable law. An updated version takes effect from the moment it is published on this page, and the date shown at the top of this page tells you when it last changed.
We are not obliged to notify you of a change, and you should not rely on receiving a notice. It is your responsibility to review this page regularly so that you are aware of the current version. We will make reasonable efforts to keep this page up to date and to show the date of the most recent update, but that is a courtesy to you and not an obligation on us.
If you continue to access or use the Katlego Finance platform after an updated version is published, you accept the updated version and it becomes binding on you. If you do not accept an updated version, you must stop using the platform, and you may cancel your account in accordance with our Refund and Cancellation Policy.
Where we have kept a previous version, we will provide it on request to support@katlegofinance.co.za.
Where these Terms or South African law expressly require us to give notice of a particular change, we will give that notice. This includes the notice of a subscription fee increase described in Section 6.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from this agreement will first be referred to good faith negotiation between the parties, and if not resolved within 30 days, may be referred to arbitration or to the courts of South Africa, at the election of the party bringing the claim, without prejudice to any right you may have to refer a complaint to the Financial Sector Conduct Authority, the National Financial Ombud Scheme, or the Information Regulator.
16. General
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. These Terms, together with the documents incorporated by reference in Section 1, constitute the entire agreement between you and Katlego Finance regarding your use of the platform, and supersede any prior agreement on the same subject. No delay or failure by us to enforce any right under this agreement constitutes a waiver of that right.
